Terms of Service

1. The Service

The TradeBuilt Electrical Learning Platform is a web-based electrical training and simulation tool. It lets you build and read schematics, wire and energize simulated AC and DC circuits, take readings with simulated test instruments, introduce simulated faults, and practice troubleshooting. It is intended for students, apprentices, instructors and skilled-trades professionals who are learning or practicing electrical fundamentals and diagnostics.

The Service runs in a web browser and is designed for current desktop, laptop and tablet browsers. You are responsible for the device, browser and internet connection you use to access it.

2. Who may use the Service

You must be at least 18 years old, or the age of legal majority where you live, to create an account and purchase a subscription. A person under 18 may use the Service only with the permission and supervision of a parent or legal guardian who agrees to these Terms on their behalf and is responsible for their use. The Service is not directed to children under 13, and children under 13 may not create an account.

Schools, training programs and other organizations that want classroom or group access should contact us at the address in Section 24. Any separate written agreement we enter into with an organization will control over these Terms where the two conflict.

3. Your account

You need an account to use the Service. You can sign up with an email address and password, or sign in with Google. When you sign up with an email address you must provide your first and last name and verify your email address before you can use the Service, and your password must meet the requirements shown at sign-up.

You agree to:

• provide accurate information and keep it up to date;
• keep your password and sign-in credentials confidential and not share your account with anyone else. Each account and subscription is for use by one person;
• be responsible for all activity that occurs under your account; and
• notify us promptly at the address in Section 24 if you believe your account has been accessed without your permission.

4. Subscriptions, pricing and payment

4.1 Plans and prices

Access to the Service requires a paid subscription. We currently offer two plans:

• Monthly: $19.99 per month.
• Annual: $179.99 per year.

All prices are in U.S. dollars. The price and billing period for your plan are shown on the payment page before you subscribe. Each plan includes the features and usage limits described in the Service at the time of purchase, such as the number of projects you can save.

4.2 Automatic renewal

Your subscription renews automatically at the end of each billing period, for another billing period of the same length, and your payment method on file is charged the price for your plan at the start of each new period, until you cancel. A monthly subscription renews every month; an annual subscription renews every year. You can see your next renewal date on the Manage Subscription page, which you can open from the Account menu. You can cancel at any time as described in Section 7.

4.3 Payment processing

Payments are processed by Stripe, Inc. (“Stripe”). Your card details are entered into Stripe’s own secure payment form and are sent directly to Stripe. TradeBuilt does not receive or store your full card number or security code. By subscribing, you authorize us, through Stripe, to charge your payment method for your subscription, including each automatic renewal. Your use of Stripe’s services is also subject to Stripe’s own terms and privacy policy.

You can change the payment method used for your subscription on the Manage Subscription page. Invoices, receipts and your billing history are available through the billing history link on that page, which opens Stripe’s customer portal.

4.4 Failed payments

If a payment for a renewal fails, our payment processor may retry it. Your access continues through the end of the period you have already paid for. If payment cannot be collected, your subscription may be suspended or ended and your access to the Service will stop until a successful payment is made. Updating your payment method sets the card used for the next attempt.

4.5 Price changes

We may change the price of a plan in the future. If we change the price of your plan, we will notify you in advance, and the new price will take effect no earlier than your next renewal after that notice. If you do not agree to the new price, you may cancel before it takes effect.

4.6 Taxes

Prices are listed in U.S. dollars. We do not currently add sales tax or other taxes to subscription charges. Applicable taxes, if any, may be added to charges as required by law.

5. Free trials

New free trials are not currently offered. New subscriptions begin as paid subscriptions and are charged when you subscribe.

If we offer a free trial in the future, its length and terms will be shown on the payment page before you enter any payment information, and the following will apply:

• A valid payment method is required to start a trial. Unless you cancel before the trial ends, your paid subscription begins automatically when the trial ends and your payment method is charged the price of the plan you chose.
• You may end a trial early and subscribe immediately, in which case you will be charged at that time.
• If you cancel during a trial, you will not be charged, and your access continues until the trial ends.
• Some features, such as saving projects to your account, may not be available during a trial.
• Free trials are limited to one per person. To enforce this, we check eligibility against your email address and your payment method. Deleting your account, or signing up again with a different email address and the same payment method, does not make you eligible for another trial.

If you started a free trial before new trials were discontinued, that trial continues under the terms shown when you started it, and your paid subscription begins automatically when it ends unless you cancel first.

6. Changing plans

You can switch between the Monthly and Annual plans on the Manage Subscription page. When a change will take effect on a later date, the switch button shows that date before you press it.

6.1 Monthly to Annual

A change from the Monthly plan to the Annual plan takes effect immediately. You are charged the annual price at that time, reduced by a prorated credit for the unused portion of your current monthly billing period, as calculated by our payment processor. Your new annual billing period begins on the date of the change. The credit is applied only against that annual charge; it is not paid out. If the payment is declined, your plan does not change.

6.2 Annual to Monthly

A change from the Annual plan to the Monthly plan takes effect only when your current, already-paid annual term ends. You keep the Annual plan and full access until that date. On that date the Monthly plan begins, your payment method is charged the monthly price, and your subscription then renews monthly until you cancel. No refund or account credit is given for the remaining portion of the annual term, which you continue to use until it ends. Until the change takes effect, you can keep your Annual plan instead from the Manage Subscription page. If you cancel your subscription while a change to Monthly is scheduled, the scheduled change is also cancelled and your subscription ends when the annual term ends.

6.3 During a free trial

If you change plans during a free trial, the change takes effect immediately and nothing is charged at that time. The price of the new plan is charged when the trial ends.

7. Cancellation

You can cancel your subscription at any time from the Manage Subscription page in the Account menu. Cancellation takes effect at the end of your current billing period. Your subscription will not renew, you will not be charged again, and you keep access to the Service through the end of the period you have already paid for. After that date your access ends.

You can undo a cancellation from the Manage Subscription page at any time before your billing period ends, and your subscription will then renew as usual.

Cancelling your subscription does not delete your account. Deleting your account is different: it ends your access immediately and any remaining paid time is lost without a refund (see Section 16).

8. Payments are non-refundable

All payments are final and non-refundable, except where a refund is required by applicable law. This includes, without limitation:

• unused time, and partial monthly or annual billing periods;
• periods in which you did not use the Service;
• cancellation during a billing period;
• a change from the Annual plan to the Monthly plan, as described in Section 6.2; and
• deletion of your account, or termination of your account for a breach of these Terms.

To avoid being charged for the next billing period, cancel before your renewal date. If you believe you have been charged in error, please contact us at the address in Section 24 so that we can look into it.

9. Your projects and content

You own the circuits, schematics, notes and other content you create in the Service (“Your Content”). You grant us a limited license to store, copy, process and display Your Content only as needed to operate the Service for you, such as saving your projects to your account and loading them when you ask.

With an active subscription, you can save projects to your account, subject to the limits for your plan shown in the Service, and export and import schematic files. The circuit you are currently working on is also kept in your browser’s local storage on your device; that copy is not stored in your account, and clearing your browser data will remove it.

We work to keep saved projects available, but we do not guarantee that Your Content will never be lost. You are responsible for keeping your own copies of anything important to you, for example by exporting it to a file. If your subscription ends, we may keep your saved projects so they are available if you subscribe again, but we do not promise to keep them indefinitely.

10. Information we handle

To provide the Service we handle the following information:

• Account information: your name and email address, or the basic profile information Google shares when you sign in with Google. Sign-in is provided by Google Firebase Authentication.
• Subscription and billing records: your subscription status, plan and billing dates, and the identifiers our payment processor uses for your customer record and subscription. Your card details are held by Stripe, not by us.
• Your saved projects, stored with your account.
• A session cookie that keeps you signed in and lets our servers confirm your subscription before delivering the application, and information kept in your browser’s local storage, such as the circuit you are working on and your display preferences.
• Limited records kept after you delete your account: a one-way hashed form of your email address and a one-way hashed identifier for your payment card, which we keep only to prevent repeat free trials, and the invoices and receipts our payment processor keeps as financial records.

We use this information to provide, secure and support the Service, to process payments, and to enforce these Terms. We do not sell your personal information.

11. Acceptable use

You agree not to:

• use the Service for any unlawful purpose or in violation of any applicable law;
• share your account or credentials, or let anyone else use your subscription;
• attempt to bypass, disable or interfere with sign-in, subscription checks, free-trial limits, usage limits or any other access control or security feature, including by creating multiple accounts to obtain additional free trials;
• access or collect data from the Service using automated means such as bots, scrapers or crawlers, except as we expressly permit;
• interfere with or disrupt the Service or the servers and networks that provide it, or introduce viruses or other harmful code;
• impersonate any person or misrepresent your affiliation with anyone; or
• represent that TradeBuilt, or any result produced in the Service, certifies, licenses or qualifies you or anyone else to perform electrical work.

12. Intellectual property

The Service is proprietary software. The Service and everything in it, including the software, source code, simulation engine, circuit and instrument models, component symbols and artwork, text, graphics, user interface, the user manual, and the TradeBuilt™ name and logo, are owned by TradeBuilt or its licensors and are protected by copyright, trademark and other intellectual property laws. Except for the limited license in Section 13, no rights are granted to you, and all rights not expressly granted are reserved. The Service is not open-source software.

If you send us suggestions or feedback, you allow us to use them without restriction or obligation to you.

13. License and restrictions

Subject to these Terms and while your subscription is active, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own education, training and skills practice.

You may not, and may not help or allow anyone else to:

• copy, reproduce, download for redistribution, mirror or frame any part of the Service, except that you may export and keep your own projects using the features the Service provides;
• distribute, sell, resell, rent, lease, sublicense or otherwise make the Service or access to it available to anyone else;
• reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, simulation models or underlying structure of the Service, except to the extent applicable law expressly permits this despite this restriction;
• modify, translate or create derivative works based on the Service;
• use the Service, or any output, content or screenshots from it, to build or train a competing product or service;
• use the Service for commercial purposes beyond your own personal education and professional practice, including providing paid instruction, courses or training to others through your account, without a separate written agreement with us; or
• remove, obscure or alter any copyright, trademark or other proprietary notice.

14. Educational and simulation disclaimer

TradeBuilt is a learning and simulation platform. It is not a substitute for real-world electrical training, qualified supervision, or safe work practices.

The circuits, components, instruments, readings, faults and protective-device behavior in the Service are simplified computer models built for teaching. They do not represent every real-world electrical condition, and simulated results may differ from what you would find on real equipment. Real installations involve factors the Service does not model or models only approximately.

The Service is not a substitute for, and does not override:

• the National Electrical Code or any other electrical code, standard or regulation that applies where you work;
• manufacturer instructions, ratings, labels and specifications;
• the professional judgment of a qualified electrician or engineer;
• required education, apprenticeship, training, licensing, certification or supervision; or
• safe electrical work practices, including de-energizing and verifying equipment with properly rated test equipment, lockout/tagout, and the use of appropriate personal protective equipment.

Do not rely on the Service to design, install, test, repair or verify any real electrical system. Using the Service, or completing any activity in it, does not certify, license or qualify you to perform electrical work. Electrical work can cause serious injury, death and property damage. Always follow applicable codes, manufacturer instructions and safety requirements, and work within your training and legal authority.

15. Availability and changes to the Service

We work to keep the Service available and working well, but we do not guarantee that it will be available at all times or free of errors or interruptions. The Service may be unavailable from time to time for maintenance, updates, or reasons beyond our control, including the failure of third-party services we rely on.

We may change, add, suspend or remove features, content, components or instruments in the Service at any time, including to improve accuracy, performance or security. We may also discontinue the Service. If we discontinue the Service entirely, we will give reasonable advance notice where practicable.

16. Account termination

16.1 Deleting your account

You can permanently delete your account at any time using Delete Account in the Account menu. You will be asked to confirm your password, or to confirm with Google, before anything is deleted. When you delete your account:

• your saved projects and account data are permanently deleted, and this cannot be undone;
• your subscription or free trial is cancelled immediately, and your access ends immediately, even if you have paid for time that has not yet been used, including the remainder of an annual plan;
• any remaining paid time is not refunded, and any scheduled plan change is cancelled; and
• the limited records described in Section 10 are kept, including invoices and receipts, and deleting your account does not reset free-trial eligibility.

If you only want to stop paying, cancel your subscription instead (see Section 7). Cancelling keeps your account, your saved projects and your access through the end of the period you have already paid for. The Delete Account confirmation explains this difference before anything is deleted.

16.2 Suspension or termination by us

We may suspend or terminate your account or your access to the Service, with or without notice, if you breach these Terms, if payment for your subscription cannot be collected, if we are required to do so by law, or if we reasonably believe it is necessary to protect the Service, other users or TradeBuilt. If we terminate your account because you breached these Terms, you are not entitled to a refund.

16.3 What continues after termination

Sections 8 through 12, the restrictions in Section 13, Section 14, Sections 17 through 24, and any other provisions that by their nature should continue, survive the end of your account or subscription. The license granted in Section 13 ends when your subscription or account ends.

17. Third-party services

The Service relies on third-party providers, including Stripe for payment processing and Google Firebase for sign-in, hosting and data storage. Those providers operate under their own terms and privacy policies. We are not responsible for third-party services, websites or content that we do not control.

18. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure or error-free, that simulated results will be accurate, complete or representative of any real-world electrical condition, or that the Service will meet your requirements or any training, certification or licensing requirement.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

19. Limitation of liability

To the fullest extent permitted by law, TradeBuilt and its owners, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to these Terms or the Service, even if we have been advised of the possibility of such damages. This includes any injury, death, property damage or other loss arising from real-world electrical work, testing or decisions made in reliance on the Service or on any simulated result.

To the fullest extent permitted by law, our total liability for all claims arising out of or relating to these Terms or the Service will not exceed the total amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim.

Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits any liability that cannot be limited under applicable law.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless TradeBuilt and its owners, employees and agents from any claims, losses, damages, liabilities and expenses, including reasonable attorneys’ fees, arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of any third party.

21. Governing law and disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules. You and TradeBuilt agree that any such dispute will be brought exclusively in the state or federal courts located in the State of Michigan, and you consent to the personal jurisdiction of those courts. This section does not limit any rights you may have under the consumer-protection laws of the place where you live that cannot be waived by agreement.

Before bringing a formal claim, please contact us at the address in Section 24 so we can try to resolve the issue informally.

22. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on this page and change the “Last updated” date at the top. If a change is material, we will give you reasonable advance notice, for example by email or through the Service, before it takes effect. Your continued use of the Service after updated Terms take effect means you accept them. If you do not agree to the updated Terms, you should stop using the Service and cancel your subscription.

23. General

• Entire agreement. These Terms, together with any terms shown to you at the time of purchase, are the entire agreement between you and TradeBuilt about the Service.
• Severability. If any provision of these Terms is found unenforceable, the rest of the Terms remain in effect, and that provision will be enforced to the fullest extent permitted.
• No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition or sale of all or part of our business.
• Notices. We may send notices to the email address associated with your account or post them in the Service. You can send notices to us at the address in Section 24.
• Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control.
